Terms of Service

1. Acceptance of Terms

By accessing or using Flowdiq ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Thrice M Financial Consulting, LLC ("TMF," "we," "us," or "our"), a Minnesota limited liability company.

2. Description of Service

Flowdiq is an AI-powered cash flow intelligence platform designed for small and medium-sized business owner-operators. The Service provides cash flow visibility, forecasting, alert notifications, and AI-generated financial insights by connecting to your financial accounts through third-party integrations including Plaid, QuickBooks, and Xero.

Flowdiq is a financial software tool, not a registered investment advisor, broker-dealer, or CPA firm acting in an advisory capacity through this platform. Information provided through the Service is for informational purposes only and does not constitute financial, investment, tax, or legal advice.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business. By using the Service, you represent that you meet these requirements.

4. Account Registration

You must create an account to access most features of the Service. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at info@thricemfinancial.com if you suspect unauthorized access.

5. Subscription Plans and Billing

Flowdiq offers free and paid subscription plans. Paid plans are billed on a monthly recurring basis through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

• You may cancel your subscription at any time from your account settings.
• Cancellations take effect at the end of the current billing period. No partial refunds are issued.
• We reserve the right to change pricing with 30 days' notice to your registered email address.
• Failure to pay may result in suspension or downgrade of your account.

6. Third-Party Integrations

Flowdiq connects to third-party services including Plaid (bank data), QuickBooks, Xero, and others. Your use of these integrations is subject to their respective terms of service and privacy policies. We are not responsible for the accuracy, availability, or actions of third-party services.

By connecting your financial accounts, you authorize Flowdiq and its data partners to access your financial data solely for the purpose of providing the Service.

7. AI-Generated Content

The Service uses artificial intelligence to generate financial insights, forecasts, and alerts. These outputs are generated automatically and may contain errors or inaccuracies. AI-generated content:

• Is not a substitute for professional financial, tax, or legal advice.
• Should be reviewed critically before making business decisions.
• May not reflect real-time market conditions or all relevant factors.

Always consult a qualified professional for significant financial decisions.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit malware, spam, or harmful content.
• Resell or sublicense access to the Service without written permission.
• Use the Service in any way that could damage, disable, or impair its operation.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We take the security of your financial data seriously and implement industry-standard safeguards.

10. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, design, text, graphics, and logos — are owned by Thrice M Financial Consulting, LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THRICE M FINANCIAL CONSULTING, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Thrice M Financial Consulting, LLC and its members, officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time by contacting us at info@thricemfinancial.com.

15. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Minnesota.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
